Terms of Sale

Article 1 – Purpose

These Terms of Sale govern the contractual relationship between any user (the "Customer") and CALIMA AI, LLC, operator of the CALIMA.AI platform, accessible at www.calima.ai. Use of the platform implies full and complete acceptance of these Terms of Sale.

Article 2 – Company Identity

CALIMA AI, LLC is a limited liability company formed under the laws of the State of Delaware, United States. Article 3 – Service Description

CALIMA.AI is a SaaS platform enabling its users to automate certain professional tasks through specialized intelligent conversational agents. Access to these services is provided through a monthly, quarterly, or annual subscription.

Article 4 – Service Access

Access to services is conditional upon: creation of a user account, acceptance of these Terms of Sale and Terms of Use, subscription to a paid plan (after trial period). The user benefits from a 14-day free trial. At the end of this period, the chosen subscription is automatically activated and billed, unless prior cancellation is made.

Article 5 – Pricing

Prices are expressed in US dollars (USD) or euros (EUR) depending on the geographical area and are clearly displayed on the site at the time of subscription. Prices may be monthly, quarterly, or annual. Prices may change, but any price change will only apply to the next billing period, with prior notice.

Article 6 – Payment

Payment is made by credit card through a secure provider. The subscription is automatically charged each period. The Customer undertakes to provide valid and up-to-date payment information.

Article 7 – No Refund Policy

After the free trial period, any validated payment is final and definitive. No refund will be granted, including in case of partial use of the service. The Customer is solely responsible for managing and canceling their subscription from their personal account. As an exception, a refund may be considered only in case of manifest error attributable to CALIMA.AI, or in case of proven technical bug.

Article 8 – Termination

The Customer may terminate their subscription at any time from their personal account. Termination will take effect at the end of the current subscription period. No refund, including pro-rata temporis, will be made for the period already started.

Article 9 – Suspension or Access Restriction

CALIMA.AI reserves the right to temporarily or permanently suspend a Customer's access in case of manifest abuse of the service, fraudulent use, or non-compliance with Terms of Sale or Terms of Use.

Article 10 – Liability

CALIMA.AI cannot be held liable for consequences related to misuse of agents, nor for decisions made based on responses or automated actions provided by the platform. The Customer is responsible for the configuration and content transmitted to agents.

Article 11 – Intellectual Property

The agents Luna, Sara, Adam, and Inès are the exclusive property of CALIMA AI, LLC. The Customer retains ownership of the data they transmit and which can be exported upon request.

Article 12 – Applicable Law & Jurisdiction

These Terms of Sale are governed by the law of the State of Delaware, United States. In case of dispute, an amicable resolution will be preferred. Otherwise, the dispute will fall under the jurisdiction of the competent courts of the State of Delaware.

Terms of Use

Article 1 – Service Presentation

CALIMA.AI enables entrepreneurs to delegate tasks to specialized virtual agents. Each agent (Luna, Sara, Adam, Inès) is designed to perform specific functions: marketing content creation, administrative management, sales prospecting, recruitment, etc.

  • β€’ Automated actions on the user's connected tools

Article 2 – Platform Access

Access is reserved for adults with an active account, after subscribing to a plan. The user undertakes to provide accurate information during registration and to keep it up to date. The user is responsible for the confidentiality of their credentials.

Article 3 – Use of Agents

The agents (Luna, Sara, Adam, Inès) are the exclusive property of CALIMA AI, LLC. The user may freely interact with them but may not:

  • βœ• Reproduce, extract, or export their operating logic
  • βœ• Resell or sublicense their use
  • βœ• Transfer them to other platforms

Article 4 – User Data

Data that the user enters into the platform (texts, files, prompts) belongs to them and is exportable upon request. The user retains ownership of their data and grants CALIMA.AI a limited license to process this data as part of providing the services.

Article 5 – User Responsibility

The user is responsible for actions executed through their agents, including in case of misconfiguration or inappropriate use.

  • βœ• Excessive consumption not suited to the chosen subscription

Article 7 – Compliance with Google API Rules

CALIMA.AI undertakes to comply with the Google API Services User Data Policy, including the "Limited Use" requirements. Data from Google services (such as Gmail) is used only to offer the functionalities described to the user and is not used for advertising purposes or sold to third parties.
